1. Acceptance of Terms

By downloading, installing, or using Resonate Labs ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Resonate Labs ("we," "us," or "our") regarding your use of the App.

2. Description of Service

Resonate Labs is a professional-grade binaural beats generator that creates audio frequencies designed to support:

  • Sleep optimization and deep relaxation
  • Meditation and mindfulness practices
  • Focus enhancement and cognitive performance
  • Stress reduction and emotional well-being
  • Hypnosis and therapeutic applications

The App generates scientifically-validated binaural beats using precise frequency synthesis and provides ambient soundscapes and music playback features.

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for personal, non-commercial purposes.

You may NOT:

  • Copy, modify, or create derivative works of the App
  • Reverse engineer, decompile, or disassemble the App
  • Rent, lease, sell, sublicense, or transfer the App
  • Remove or alter any proprietary notices or labels
  • Use the App for any commercial purposes without written permission
  • Export audio generated by the App for commercial distribution

4. User Responsibilities

You agree to:

  • Use the App only for lawful purposes
  • Comply with all applicable local, state, national, and international laws
  • Read and follow all safety warnings and medical disclaimers
  • Use headphones or stereo speakers for the binaural effect to function properly
  • Consult with a healthcare provider before use if you have any medical conditions
  • Not use the App while operating vehicles or heavy machinery
  • Not use the App if you have epilepsy, seizure disorders, or are pregnant without medical approval

5. Premium Features

The App is free to download and use. Optional premium features may be available through in-app purchases, including:

  • All 30+ frequency presets
  • 21 ambient soundscapes
  • 25 music tracks
  • Multi-stage session builder
  • Background playback
  • Cloud sync across devices

Premium features are subject to additional terms and pricing displayed in the App. All purchases are processed through the Apple App Store and are subject to Apple's Terms of Service.

6. Intellectual Property Rights

The App and all content, features, and functionality (including but not limited to all software, algorithms, audio generation technology, user interface, design, text, and graphics) are owned by Resonate Labs and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

"Resonate Labs" and associated logos are trademarks of Resonate Labs. You may not use these trademarks without our prior written permission.

7. Medical Disclaimer

IMPORTANT: The App is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or medical condition.

Binaural beats are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RESONATE LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the App
  • Any conduct or content of any third party on or through the App
  • Any content obtained from the App
  • Unauthorized access, use, or alteration of your transmissions or content

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

9. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • The App will function uninterrupted, secure, or available at any particular time or location
  • Any errors or defects will be corrected
  • The App is free of viruses or other harmful components
  • The results of using the App will meet your requirements or expectations

10. Indemnification

You agree to indemnify, defend, and hold harmless Resonate Labs and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the App
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

11. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

The App requires minimal data collection:

  • No account creation required
  • Preferences stored locally on your device
  • No third-party tracking or analytics
  • Optional CloudKit sync (future feature) uses Apple's secure infrastructure

12. Modifications to the App and Terms

We reserve the right to:

  • Modify or discontinue the App (or any part thereof) at any time with or without notice
  • Update these Terms at any time by posting the new Terms on our website
  • Notify users of material changes through the App or by email

Your continued use of the App after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the App.

13. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination:

  • Your right to use the App will immediately cease
  • You must delete all copies of the App from your devices
  • All provisions of these Terms which by their nature should survive termination shall survive

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the App shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding the App and supersede any prior agreements.

16. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
